1. About these Terms

Welcome to Karli Health. These Terms & Conditions (the “Terms”) govern your access to and use of www.karlihealth.com and any related pages, content, forms, online booking, and patient portal (together, the “Site”), and any services you book through it. The Site is operated by Karli Health, LLC (“Karli Health,” “we,” “us,” or “our”), located at 3683 S Miami Avenue, Suite 460, Miami, FL 33133. By using the Site — or by booking an appointment or creating an account through it — you agree to these Terms and to our Privacy Policy, incorporated here by reference. If you do not agree, please do not use the Site. These Terms govern your use of the Site. They are not a treatment agreement, a financial-responsibility agreement, or an informed-consent document — those are provided separately at the time of care.

2. Who may use the Site

You must be at least 18 years old and able to form a binding contract to use the Site or book services. The Site and our services are intended for adults; we do not knowingly collect information from, or provide services to, minors through the Site. You agree that the information you provide is accurate and that you will keep it current.

3. Not medical advice — and no doctor–patient relationship online

Everything on the Site — including pages describing therapeutic plasma exchange (TPE), peptide therapy, hormone optimization, hyperbaric oxygen therapy (HBOT), supplements, DEXA scans, red light therapy, longevity packages, and any articles or FAQs — is provided for general informational and educational purposes only. It is not medical advice, a diagnosis, or a treatment recommendation, and it is not a substitute for the professional judgment of a qualified physician or licensed medical staff member who has evaluated you in person or by telehealth visit.

Using the Site, reading its content, submitting a form, or requesting a consultation does not create a doctor–patient relationship. That relationship is formed only after you have been evaluated — in person or by telehealth visit — by a qualified physician or licensed medical staff member, formally accepted as a guest of Karli Health, and have completed the intake, evaluation, and informed-consent process that governs your care. Always seek the advice of your physician with any questions about a medical condition, and never disregard or delay it because of something you read here.

This Site is not for emergencies. If you think you are having a medical emergency, call 911 or go to the nearest emergency room immediately. Do not use the Site, our contact forms, or any online message to request emergency care.

4. Nature of our services; no guaranteed results

Karli Health provides regenerative and longevity medicine. Some therapies we offer are elective, individualized, and — in some cases — emerging or not FDA-approved for the specific longevity use described. Whether a given therapy is appropriate for you is a medical decision made by your physician based on your evaluation and documented through a separate informed-consent process before treatment. Medicine is not an exact science. Descriptions of benefits on the Site reflect general goals and the experiences of some individuals; they are not a promise, guarantee, or warranty of any particular result. Individual results vary and depend on factors we do not control, including your health history, adherence, and biology. Nothing on the Site is a claim that any therapy or product will prevent, treat, cure, or diagnose any disease.

5. Testimonials, reviews, and before/after content

Testimonials, reviews, ratings, and any before-and-after or outcome descriptions reflect the experiences of specific individuals. They are not typical, are not a prediction of your results, and are not a guarantee. Individual results vary. Testimonials are shared with permission and may be lightly edited for length or clarity; they are not paid endorsements unless clearly disclosed.

6. Supplements

Dietary supplements are not intended to diagnose, treat, cure, or prevent any disease, and statements about them have not been evaluated by the U.S. Food and Drug Administration (FDA). Supplements are not a substitute for a balanced diet, prescribed medication, or medical care. Consult your physician before beginning any supplement, especially if you are pregnant or nursing, have a medical condition, or take other medications. Supplements are not sold through www.karlihealth.com. You may purchase them in person at our office, or through the independent manufacturers’ or dispensaries’ own websites we may recommend; any such purchase is between you and that seller under its terms and return policies, not ours. All supplement sales are final; we do not accept returns or offer refunds on supplements.

7. Telehealth visits

Where offered and clinically appropriate, we may provide consultations or follow-ups by telehealth. Telehealth has inherent limitations — some conditions cannot be assessed remotely and may require an in-person visit — and your provider will tell you when that is the case. Our providers deliver telehealth only where they are licensed and only when you are physically located in a place where they are permitted to do so. You are responsible for a private setting and a reliable internet-connected device for your visit. Telehealth is not for emergencies (see Section 3).

8. Appointments, consultations, and communications

You can request appointments and consultations through the Site. A request is not confirmed until we contact you to schedule and confirm it. We may decline or reschedule appointments, and may decline to accept anyone as a patient, at our discretion and consistent with applicable law. Please do not send sensitive health information through unsecured channels such as website forms, email, or text unless we direct you to a secure method — standard email and SMS are not fully secure. If we send appointment reminders or other messages by text, message and data rates may apply, and you can opt out anytime by replying STOP.

9. Payments, deposits, packages, and memberships

Prices for services, packages, and memberships are as quoted at the time of purchase and are subject to change; unless stated otherwise, they do not include applicable taxes and fees. When you provide a payment method, you represent that you are authorized to use it and you authorize us (and our payment processors) to charge it for the amounts you agree to; we use third-party processors and do not store full payment-card numbers ourselves. Certain consultations, procedures, packages, or memberships may require a deposit or prepayment to reserve time and resources; those terms — including whether a deposit is refundable — are disclosed to you at the time of booking and apply to that transaction. If you enroll in a membership billed on a recurring basis (for example, monthly), you authorize us to charge each cycle until you cancel as described in your membership terms; cancellation stops future billing but does not retroactively refund amounts already billed unless required by law or stated in the offer. Packages and memberships are for the named individual, are non-transferable, and unused sessions expire as stated in their terms. Fees for medical services, and your financial responsibility for them, are governed by the financial and consent paperwork you sign at the clinic — nothing on the Site guarantees that a particular therapy will be recommended for or provided to you.

10. Cancellations, no-shows, and refunds

Because appointment time is reserved specifically for you, we ask for at least 24 hours’ notice to reschedule or cancel. If you cancel with less than 24 hours’ notice, or do not show up for a scheduled appointment, you will be charged your office-visit fee, and that charge is non-refundable. Supplement sales are final and non-refundable (Section 6). Medical and treatment services, once provided, are generally non-refundable; any refund of prepaid or package amounts is handled under the applicable package or membership terms and applicable law.

11. Health information and HIPAA

Personal health information you provide in the course of care is protected health information handled under HIPAA and our Notice of Privacy Practices, which we provide to you as a patient and which governs your medical records. Our website Privacy Policy covers information collected through the Site itself (such as contact-form and browsing data) and is separate from your medical records. Please use secure channels we designate — not open web forms, email, or text — to share health information with us.

12. Accounts and portal access

If you create an account or use a patient portal, you are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate access at our discretion, including for suspected misuse. A portal is not a channel for emergencies or time-sensitive medical needs.

13. Travel, accommodation, and third-party services

To support out-of-town guests, we may provide travel and accommodation guidance and refer you to hotels, transportation, or other providers. These third parties are independent; we do not own or control them and are not responsible for their services, availability, pricing, cancellation policies, acts, or omissions. Any arrangement you make with them is between you and that provider. Referrals and guides are a convenience, not an endorsement or guarantee.

14. Intellectual property

The Site and its content — text, graphics, logos, the Karli Health name and marks, photographs, videos, page design, and compilations — are owned by Karli Health or its licensors and protected by copyright, trademark, and other laws. You may view and use the Site for your own personal, non-commercial purposes. You may not copy, reproduce, republish, scrape, distribute, sell, or create derivative works from Site content, or use it to train machine-learning models, without our prior written permission. “Karli Health” and our logos may not be used without permission.

15. Acceptable use

You agree not to: use the Site for any unlawful purpose; attempt to gain unauthorized access to any part of the Site, accounts, or systems; interfere with or disrupt the Site; introduce viruses or malicious code; scrape or harvest data by automated means; or misrepresent your identity. We may suspend or terminate access for any violation.

16. Third-party links

The Site may link to third-party websites and resources for convenience only. We do not endorse and are not responsible for their content, products, or practices. Accessing them is at your own risk and subject to their terms and policies.

17. Disclaimer of warranties

The Site and its content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Site will be uninterrupted, secure, or error-free or free of harmful components. To the fullest extent permitted by law, we disclaim all such warranties. This Section disclaims warranties about the website; it does not limit any rights you have regarding the medical care you actually receive, which is governed by law and your separate treatment and consent documents.

18. Limitation of liability

To the fullest extent permitted by law, Karli Health and its owners, physicians, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or data, arising out of or relating to your use of (or inability to use) the Site, even if advised of the possibility. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site will not exceed the greater of the amount you paid us for the item or service giving rise to the claim in the prior 12 months, or US $100. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including personal injury caused by our negligence, gross negligence, willful misconduct, or fraud. This Section applies to Site use and does not waive, cap, or alter any rights or remedies relating to the actual medical care you receive, which are governed by applicable law and your separate treatment documents.

19. Indemnification

You agree to defend, indemnify, and hold harmless Karli Health and its owners, physicians, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.

20. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction. Informal resolution first: before filing any claim, please contact us at info@karlihealth.com and try in good faith to resolve it informally.

21. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and post the new version. Changes are effective when posted, and your continued use of the Site means you accept them. Please review this page periodically.

22. Miscellaneous

If any provision is found unenforceable, the rest remain in effect and that provision will be modified to the minimum extent necessary. Our failure to enforce any right is not a waiver of it. These Terms, with our Privacy Policy and any referenced policy, are the entire agreement between you and Karli Health regarding the Site. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
